These Terms & Conditions (the "Terms") govern your access to and use of the Foodly mobile apps, the Foodly web platform and the foodly.solutions website (together, the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

Foodly is a platform that connects food businesses (restaurants, bars, cafés, food trucks, caterers and private chefs — "Businesses") with people who want to discover and enjoy them ("Diners"). The Service includes, among other features:

Foodly is a technology platform. The Businesses listed on Foodly are independent from us: they prepare and serve the food, honour reservations and are responsible for their menus, prices, allergen information and regulatory compliance. A reservation or order creates a direct relationship between the Diner and the Business.

4. Payments, commissions and fees

Foodly is free to use: no subscriptions, no monthly fees, no setup cost. We only earn when a Business gets paid through Foodly.

For Businesses: a 3% commission applies to each order paid through Foodly. This commission covers payment processing — there are no additional card-processing charges from Foodly on top of it. Orders not paid through Foodly carry no commission.

For Diners: a €0.25 payment-platform processing fee per transaction is applied by the payment platform (Stripe). It is always shown transparently in the payment breakdown before you confirm the payment — no hidden charges.

Tips: tips go to the restaurant in full, minus a 2% payment-processing recovery that covers the cost of processing the tip amount.

6. Acceptable use

You agree not to misuse the Service — including attempting to breach its security, scraping data, impersonating others, sending spam, manipulating reviews or rankings, or using the Service for any unlawful purpose.

7. Availability — "as is"

We work hard to keep Foodly fast and available 24/7, but the Service is provided "as is" and "as available", without warranties of any kind to the extent permitted by law. We do not guarantee uninterrupted or error-free operation, and features may change, be added or be withdrawn as the platform evolves (including features in beta).

8. Limitation of liability

To the maximum extent permitted by applicable law:

Nothing in these Terms excludes or limits liability that cannot be excluded under Portuguese law, including liability for wilful misconduct or gross negligence, or your statutory rights as a consumer.

9. Intellectual property

The Foodly name, logo, apps, design and software are the property of Foodly and its licensors. These Terms do not grant you any right to use them except as needed to use the Service.

10. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, give you reasonable advance notice in the app or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing law and jurisdiction

These Terms are governed by the laws of Portugal. Any dispute arising from these Terms or the Service will be submitted to the competent courts of Portugal, without prejudice to any mandatory consumer rules that let you bring proceedings in your place of residence. Consumers may also use the EU online dispute resolution platform at ec.europa.eu/consumers/odr.
